Terms and conditions

1. Information on how to enter the “Agoda Design to Travel Contest” (the “Contest”) and the prizes form part of these terms and conditions. The promoter of the Contest is AGODA COMPANY PTE. LTD. of 30 Cecil Street, #19-08 Prudential Tower, Singapore 049712 (“Agoda”).

2. Participants (defined below) are required to submit a design using the templates provided by Agoda for an entry into the Contest. Agoda will then select three (3) winners whose design will be used to produce products for the upcoming Agoda’s Swag Store. The three (3) winners will receive AgodaCash as a prize .

3. Individuals who submit their entries in the Contest will henceforth be referred to collectively as “Participants” and individually as a “Participant”.

4. Participation in the Contest is entirely voluntary and free. The following terms and conditions together with Agoda’s Privacy Policy (collectively, the “Terms and Conditions”) apply to the Participants whose participating in the Contest is deemed as acknowledgement and acceptance of these Terms and Conditions.

5. By participating in the Contest, each Participant acknowledges that the Contest is managed by Agoda. The Contest is neither managed nor sponsored by TikTok, Apple, Meta, or any other platforms, apps, or companies.

6. Employees (and their immediate families) of Agoda (including Agoda’s affiliates), and agencies and/or 3rd parties associated with this Contest are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de facto spouse, child, or stepchild (whether natural or by adoption), parent, step-parent, brother, sister, step-brother, or step-sister.

7. The Contest commences on 13 December 2024 at 10:00AM (Thailand local time) and entries close 11:59PM (Thailand local time) on 26 January 2025 (“Contest Period”).

8. To enter the Contest, a Participant must complete the following steps during the Contest Period and satisfy these conditions:

• Participants must submit original designs only – the design must be entirely unique and created by one individual only. However, multiple entries are permitted.
• Participants are allowed to submit original designs that encompass both the front and back surfaces of the items. However, Agoda reserves the right to adjust the design placement if deemed necessary.
• All designs must be newly created by the Participants specifically for the Agoda Design Contest and must not have been previously published.
• Submissions that are plagiarized, previously developed for other purposes, or have been used by other organizations or companies will be rejected.
• Participants must not utilize artificial intelligence in the creation of their design. Agoda reserves the right to reject an entry if it detects use of artificial intelligence.
• Participants are responsible for bearing the costs associated with producing their designs.
• Regardless of licensing rights, it is strictly forbidden to use representations that include, evoke, or imitate specific individuals or a third-party’s intellectual property rights, including but not limited to trade marks, characters, brands, logos, images, illustrations, styles, compositions, and/or linguistic expressions.
• Agoda reserves the right to revoke prizes and/or cease merchandising products featuring the winning three (3) designs selected by Agoda (“Winning Designs”) without prior notice to the Participants, regardless of the originality of the submitted design, if a similar design is found to be publicly available outside Agoda stores.
• Participants are prohibited from using the design for their own purposes, including but not limited to entering other design contests. However, Participants may post their designs on their personal social media accounts once the Contest is over.
• Participants must be aged 20 and above and must be a legal resident of Thailand. Both amateur and professional designers are welcome.
• Participants must submit designs only via submitdesign@agoda.com.
• The design must incorporate Agoda branding, including the tagline, logo, and Agojis, in a manner that is subtle yet visible, and must utilize the provided templates for tshirts, mugs, and suitcase covers.
• The design must be about travel, and any messaging must be in English.
• Participants in the contest are authorized to select any background color of their preference for the designed items.
• Participants must include the following information at the time of design submission: their full name as recorded on their passport, date of birth, e-mail address, residential address in Thailand, and a concise description of the design concept, limited to a maximum of 150 words.
• Participants are required to use English-language characters for file naming and save their designs using standard file extensions such as .png or .jpg. Additionally, designs must have a resolution of at least 300 dpi and a maximum file size of 20MB.
• The design must be adaptable for scalability across various media platforms, including but not limited to social media.
• Participants may be asked to resubmit their designs if they pass the first stage of judging, so it is recommended to save all your editable design files as .ai or .psd until the Contest ends.

9. Agoda reserves the right, at any time, to verify the validity of entries and Participants(including a Participant’s identity, age, and place of residence). Agoda may, at its solediscretion, disqualify an individual who in Agoda’s view has breached the Terms andConditions, tampered with the entry process, or engaged in any unlawful or other impropermisconduct calculated to jeopardise fair and proper conduct of the Contest. Failure byAgoda to enforce any of its rights at any stage does not constitute a waiver of those rights.

10. Agoda reserves the right to cancel a Participant’s entry for any of the following reasons:

(i) Fraud committed by the Participant in the framework of the Contest.
(ii) Publication of Content that is sexually explicit or suggestive, violent, or abusiveto any person or any ethnic, racial, sexual, religious, professional, or age group.
(iii) Promotion of alcohol, illegal drugs, tobacco, weapons in general or firearms inparticular (or the use of any of the foregoing).
(iv) Promotion of any activity that may be considered unethical, illegal, or dangerous.
(v) Dissemination of obscene or offensive language or encouraging any form of hateor hate propaganda group.
(vi) Defamation, libel, distortion, false or misleading information or publication ofcontent containing detrimental or derogatory comments about other people,groups, or companies.
(vii) Violation of any applicable laws or regulations, including, but not limited to, thosegoverning intellectual property, content, defamation, privacy, and publicity.

11. Three (3) winners will be selected through a popular vote by employees of Agoda. Theselection process will be conducted in accordance with the Contest’s official guidelines,ensuring fairness and transparency.For the avoidance of doubt, Agoda’s decision shall be final. Agoda reserves the solediscretion to evaluate the creativity of the entries based on the specified guidelines andwill shortlist twenty (20) entries prior to conducting a vote to determine the top three (3)Winning Designs based on:

• Interpretation of the theme of “travel”.
• Creativity of the design format in the approved format, while promoting tourismboth domestically in Thailand and/or abroad.
• Quality of design.
• Subtle but visible use of Agoda branding elements.

12. The judging will take place at 999/9 The Offices at Central World 27th Fl, Bangkok 10330, Thailand on or around early February 2025. Agoda may select additional reserve entrieswhich they determine to be the next best, in case of invalid entries or ineligible Participants.The winners will be notified by a public social media post and via e-mail. The email will setout the next steps to be taken by the Contest winners.

13. Agoda will announce the name of the winner on the following social media accounts:@agodathailand on Instagram and @agoda.com on TikTok. Additionally, Agoda mayannounce the winners on Agoda’s Facebook, Twitter, TikTok, Instagram, and/or LinkedInofficial accounts. This will be done once the winners have been contacted and confirmedthat they meet all the requirements.(viii)

14. Winners must have a valid e-mail and an active account with Agoda and comply withAgoda’s conditions of use to receive their prize.

15. Prizes will be delivered to the winners in the form of, which will be credited to their Agodaaccount. Winners can access and utilize their AgodaCash through the Agoda website,subject to the terms and conditions available at https://www.agoda.com/en-gb/info/agodapolicies.html?ds=azygva4cqmGebGWb. AgodaCash is not transferable, exchangeable,or redeemable for cash or other rewards.

16. If the winner does not respond to the e-mail sent by Agoda within three (3) days after thedirect message is sent, Agoda reserves the right to select a substitute winner.

17. This is a Contest of skill, and chance plays no part in determining the winners. Each entrywill be individually judged based on the rules above.

18. Agoda’s decision is final in all cases. If Agoda is impacted by law or receives orders fromany agency, be it government or private, which compels it to change or cancelparticipation, including the events that are going to occur, Agoda has the right to changeor cancel this Contest immediately without prior notice.

19. The top three (3) winners of the Contest will be eligible for prizes in the form ofreimbursements for flights, hotels, and/or activities booked through Agoda’s platforms,subject to the following structure:

(i) First Place Winner: THB 100,000 AgodaCash
(ii) Second Place Winner: THB 70,000 AgodaCash
(iii) Third Place Winner: THB 35,000 AgodaCashAnnouncement of Winners will be made on 7 February 2025.

Entries will be open from 13 December 2024 to 26 January 2025. Winners will be announced in due course by Agoda.

20. The prizes are not transferable. The prizes or the awarding of the prizes shall not begrounds for any dispute whatsoever, nor for award of its monetary value in cash, nor forits exchange or replacement. Participants are informed that the sale or exchange of prizesis strictly prohibited. Agoda shall not be liable for any incidents resulting out of the use ofthe prize by the winner. Agoda reserves the right to substitute the prize described abovewith another prize of substantially equivalent value.

21. AgodaCash may be utilized for accommodation bookings made on the Agoda platform fora period of one year from the date of issuance. Recipients must complete their stay withinthis specified timeframe. The reimbursement amount shall be up to the amount set out inSection 19 above. If the value of the booking exceeds the amount specific in Section 19,the winner will have to pay for any amount in excess.

22. If for any reason a winner does not use their AgodaCash by the time stipulated by Agoda,then the AgodaCash will be forfeited.

23. All brands or product names mentioned are trade marks of their respective owners. Anyreproduction, affixing, use or reference of these trade marks or of any element of theContest, which would be made for any purpose whatsoever, on any medium whatsoeverand/or by any process whatsoever, to the signs mentioned above, without theauthorization of their owners, is illegal.

24. Participants agree that, by entering the Contest, they are fully responsible for anymaterials they submit for the Contest including but not limited to the post (includingcomments) (“Content”). Agoda shall not be liable in any way for such Content to the full extent permitted by law. Participants warrant and agree that:

(a) they will not submit any Content that is unlawful or fraudulent, or that the Agodamay deem in breach of any intellectual property, privacy, publicity or other rights,defamatory, obscene, derogatory, offensive, pornographic, sexuallyinappropriate, violent, abusive, harassing, threatening, objectionable with respectto race, religion, origin or gender, not suitable for children aged under 15, orotherwise unsuitable for publication;
(b) their Content shall not contain viruses or cause injury or harm to any person orentity;
(c) they will obtain prior consent from any person or from the owner(s) of any propertythat appears in their Content;
(d) they warrant that they own all rights in the Content, including moral and/orintellectual property rights; and(e) they will comply with all applicable laws and regulations, including withoutlimitation, those governing intellectual property, content, defamation, privacy,publicity and the access or use of others’ computer or communication systems.
(f) without limiting any other terms herein, the Participant agrees to indemnify, defendand hold harmless Agoda, its subsidiaries and affiliates and each of their officers,directors, employees, representatives, and agents involved in the Contest(collectively, the “Agoda Group”), from and against any liability, damage or lossincluding legal fees and expenses arising out of or related to:
i. any breach of these terms and conditions by the Participant;
ii. the Participant’s (i) participation in the Contest and/or (ii) the Participant’sContent;
iii. negligence or wilful misconduct of the Participant;
iv. the Participant’s infringement or misappropriation of the rights of a thirdparty including, but not limited to, any intellectual property or rights ofpublicity or privacy (“Third-Party Claim”).(g) Agoda may, if necessary and at our sole discretion, participate in the defence ofany claim or action and any negotiations for settlement arising out of or inconnection with any Third-Party Claim. A Participant will not make any settlementthat may adversely affect the rights or obligations of the Agoda Group withoutAgoda’s prior written approval. Agoda reserves the right, at its own expense andupon notice to the Participant, to assume exclusive defence and control of anyclaim or action.

25. As a condition for entering this Contest, each Participant hereby grants to Agoda, itsaffiliates and sub-licensees, a non-exclusive, royalty-free, perpetual, worldwide,irrevocable, transferable and sub-licensable right to host, use, reproduce, modify, adapt,publish, publicly display, distribute, translate and create derivative works from theParticipant’s entry (which shall include Content) for any purpose, including but not limitedto future promotions, marketing or publicity purposes, in any media (including but notlimited to social media), without compensation, restriction on use, attribution or liability

The Participant also agrees, so far as legally possible, to waive absolutely, its moral rightsand any broadly equivalent rights which the Participant may have in its Content in anyterritory of the world.

26. Participants consent to Agoda using their name, likeness, image and/or voice in the eventthey are a winner (including photograph, film and/or recording of the same) in any media(including but not limited to social media), for an unlimited period without remuneration forthe purpose of promoting this promotion (including any outcome), and promoting anyproducts manufactured, distributed and/or supplied by Agoda.

27. If this Contest is interfered with in any way or is not capable of being conducted asreasonably anticipated due to any reason beyond the reasonable control of Agoda,including but not limited to pandemic, technical difficulties, unauthorised intervention orfraud, Agoda reserves the right, in its sole discretion, to the fullest extent permitted by law(a) to disqualify any Participant; or (b) to modify, suspend, terminate or cancel the Contest,as appropriate.

28. Except for any liability that cannot by law be excluded, Agoda (including its respectiveofficers, employees and agents) is not responsible for and excludes all liability (includingnegligence), for any personal injury; or any loss or damage (including loss of opportunity);whether direct, indirect, special or consequential, arising in any way out of: (a) anytechnical difficulties or equipment malfunction (whether or not under Agoda’s control); (b)any theft, unauthorised access or third party interference; (c) any entry or prize claim thatis late, lost, altered, damaged or misdirected (whether or not after their receipt by Agoda)due to any reason beyond the reasonable control of Agoda; (d) any variation in prize valueto that stated in these terms and conditions; (e) any tax liability incurred by a winner orParticipant; or (f) use of a prize.

29. These Terms and Conditions (and any and all disputes arising out of or in connection withit, including without limitation any alleged breach, or challenge to the validity orenforceability, of these terms and conditions or any provision thereof) will be subject to thelaws of the Republic of Singapore. Any and all disputes arising out of or in connection withthese Terms and Conditions shall be referred to the courts of the Republic of Singapore,which will have exclusive jurisdiction in case of any dispute.

30. Save for any other Agoda Group entity, a person or entity who is not a party to these termsand conditions shall have no right under the Contracts (Rights of Third Parties) Act(Chapter 53B of Singapore) or any similar legislation in any jurisdiction to enforce any partof these terms and conditions. You may not assign or transfer your rights under theseterms and conditions without Agoda’s prior written consent. We reserve the right to freelyassign these Terms and Conditions and our rights and obligations hereunder.
